Buying and Selling Land in Malaysia: With a Lawyer vs Without a Lawyer

Buying or selling land in Malaysia involves seven main steps: an official title search, a Sale and Purchase Agreement (SPA), state consent to transfer (where required), stamp duty, the Memorandum of Transfer (Form 14A), registration at the land office, and release of the purchase money. You can go through these steps with a lawyer or without one. The law does not force you to appoint a lawyer, but the risks, the time taken and the legal protection you get are very different.

The land sale and purchase process, step by step

  1. Official title search — confirm the registered owner, land category, express conditions, restrictions in interest, caveats and charges.

  2. Sale and Purchase Agreement (SPA) — fix the price, deposit, completion period and each party's obligations.

  3. State consent to transfer — needed if the title carries a restriction, for example Malay reserved land, certain agricultural land or leasehold state land.

  4. Stamp duty on the transfer — assessed by the Inland Revenue Board (LHDN) based on the land's value, with the Valuation and Property Services Department (JPPH) involved in valuation where needed.

  5. Form 14A (Memorandum of Transfer) — the transfer instrument is signed, attested and stamped.

  7. Release of payment — the balance of the price is released to the seller once the transfer is safely presented or registered.

You can sell land without a lawyer, but the process is usually slower and riskier, because banks and land offices generally deal with lawyers, and a seller who has a loan on the land will need the bank's redemption and a discharge of charge before a clean transfer can be registered.

When is the risk highest without a lawyer?

  • The title has a restriction in interest and needs state consent, or the land is Malay reserved land.

  • The seller still has a bank loan on the land.

  • The buyer is taking a loan, since the bank will appoint its own lawyer for the loan documents in any case.

  • The land is still under a master title or the seller is not the registered owner.

  • Several co-owners or an estate are involved.

SRO 2023 scale: 1.25% on the first RM500,000 (minimum RM500), then 1% on the next RM7,000,000 (up to RM7.5 million). The same scale is charged separately on the loan agreement, based on the loan amount. 8% SST applies to the legal fees. Stamp duty and registration fees are extra.

How long does it take to buy or sell land?

For land with a clear individual or strata title, it usually takes around 3 months. If state consent is needed or the title carries restrictions, it can take 6 to 9 months or longer.

Can I buy or sell land without a lawyer and without an agent?

Legally, yes, but you carry all the risk of the searches, documents and registration yourself. For most people, the fee saved is not worth the risk of losing money or the land.

Is a lawyer required to register a land transfer?

The National Land Code does not require you to appoint a lawyer, but the transfer form must be properly completed, attested and stamped before the land office will register it. If you take a loan, the bank will also require its own lawyer for the loan documents.

What if the land is still under a master title?

The deal can still go ahead through a deed of assignment with the developer's or proprietor's consent, but the documents are more complex, so appointing a lawyer is strongly advisable.
